Agreement between user and Story Collaborative LLC

Welcome to https://story-collaborative.com. The https://story-collaborative.com (the “Site”) is comprised of various web pages and subdomains operated by Story Collaborative LLC (“Story Collaborative”). https://story-collaborative.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of https://story-collaborative.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

https://story-collaborative.com is a website presenting marketing, social story telling and other related information and services.

Privacy

Your use of https://story-collaborative.com is subject to Story Collaborative’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Cancellation/Refund Policy

You may stop using your subscription at any time, billing cancellation will occur for monthly users 30 days from notification of desire to cancel with no refund of any set up fees; annual customers may cancel with 30 days notice with a refund of any used fees calculated at the standard monthly rate, less standard set up fees even if waived during purchase of annual subscription.  Websites provided with a twelve month or other term of service subscription will be subject to additional charges in case of cancellation prior to the end of the subscription period.

The Linked Sites are not under the control of Story Collaborative and Story Collaborative is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Certain services made available via https://story-collaborative.com and its subdomains are delivered by third party sites and organizations. Use of communication services

The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

Story Collaborative has no obligation to monitor the Communication Services. However, Story Collaborative reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Story Collaborative reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Story Collaborative reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Story Collaborative’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Story Collaborative does not control or endorse the content, messages or information found in any Communication Service and, therefore, Story Collaborative specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Story Collaborative spokespersons, and their views do not necessarily reflect those of Story Collaborative.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Materials provided to client or posted on any Story Collaborative web page

Story Collaborative does not claim ownership of the materials you provide to https://story-collaborative.com (including feedback and suggestions) or post, upload, input or submit to any Story Collaborative Site or our associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting Story Collaborative, our affiliated companies and necessary sub licensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Photography and Videography

Contracting or securing video or photography from Story Collaborative Inc does not entitle the customer to any raw footage. Finished video or segments of video will be provided, based upon what Story Collaborative Inc deems to be useful and quality video or photography.

Logo Delivery

Acceptance and use of logos designed by Story Collaborative LLC are based upon acceptance of the following standard logo design policy of Story Collaborative LLC.

  1. All the rights of the logo design and logo artwork Story Collaborative LLC. has created and designed for specific client belong to the client for which it was designed. Story Collaborative LLC does not hold any rights to the logo design created for a client, other than the perpetual right to display the logo as a part of its portfolio of work on the internet or in print. These rights pass to the client upon their receipt of design files.
  2. Story Collaborative LLC does not file a trademark application, nor does it offer any promise regarding the suitability for trademark for logos designed for the client. The client is free to register as a trademark the logo design created for it by Story Collaborative LLC, but the client has sole responsibility for determining logo suitability for this purpose.
  3. Story Collaborative LLC delivers designs that are its own designs and are not copied from or inspired by existing designs or trademarks, but does not guarantee in any way that a design that is the same as or similar to that designed by it, but of which it was not aware at the time of its creation, does not exist. If external artwork is used in the creation of a logo, then a license for that artwork is also provided upon delivery of the logo.
  4. If for some coincidental reason a logo designed or web designed by Story Collaborative LLC looks identical to another party’s logo, Story Collaborative LLC will provide a redraw session with a new set of logos, at our standard labor rate, as long as this is documented and requested within 180 days of logo delivery. By accepting and using a logo provided by Story Collaborative LLC, the client agrees to these terms and that a new logo is the sole remedy in the event that an identical logo is discovered. No other costs or responsibilities for an inadvertent duplication of a logo will be assumed by Story Collaborative LLC.

Third Party Accounts

You will be able to connect your Story Collaborative account to third party accounts. By connecting your Story Collaborative account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

Website Hosting

Unless you agree and pay for upgraded hosting, you will receive shared virtual hosting for your website account.  We assume no liability for this hosting account other than to move you to an upgraded account, which may incur additional costs, if the available up time or speed of processing or repairs is unacceptable.  If you cause your website to create unusual demands upon website servers, install software or plugins that open incursion or hacking attempts, or violate the customary terms of service of hosting providers, your account may be temporarily or permanently disabled. Story Collaborative will attempt to repair or restore service based upon its customer hourly rate, but will bear no responsibility for the actions of server administrators, web site registration providers or other administrators of web hosting, cloud hosting, video or social networking providers, and no refund for services will be provided.  All costs for repair and restoration will be born by the user.

Hacking and Incursion Attempts

Unless you have an upgraded maintenance agreement with us, which details additional services , Story Collaborative LLC assumes no responsibility for the malicious acts of others that may damage, delete or compromise your website or email services.  Our sole responsibility is to maintain a back up of your account, each time that significant changes are made, and to maintain a security plugin.  Story Collaborative does not assume responsibility for costs that you may incur when plugins, themes or wordpress update occur and require changes to your code, content or presentation of the website.  Our standard labor rates will apply for responding to any and all of these issues.

International Users

The Service is controlled, operated and administered by Story Collaborative from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Story Collaborative Content accessed through https://story-collaborative.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification

You agree to indemnify, defend and hold harmless Story Collaborative, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Story Collaborative reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Story Collaborative in asserting any available defenses.

Liability disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. STORY COLLABORATIVE LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

STORY COLLABORATIVE LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. Termination/access restriction

Story Collaborative reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Virginia and you hereby consent to the exclusive jurisdiction and venue of courts in Virginia in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Story Collaborative as a result of this agreement or use of the Site. Story Collaborative’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Story Collaborative’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Story Collaborative with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Use of Lamppost.social and website services and hosting may be terminated by Story Collaborative LLC, for nonpayment of fees owed after 30 days.  Reinstatement is at Story Collaborative discretion and may not be available.  12 month contracts may be cancelled after non-payment of fees, or for failure to fulfill terms of an agreement.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Story Collaborative with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Story Collaborative with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms

Story Collaborative reserves the right, in its sole discretion, to change the Terms under which http://lamppost.social is offered. The most current version of the Terms will supersede all previous versions. Story Collaborative encourages you to periodically review the Terms to stay informed of our updates.

If you purchase Story Collaborative’s products and services, billing information and we facilitate the collection of credit card information that is presented to credit card processors but not stored on our system.
